1. ACCEPTANCE OF TERMS

By creating an account or using the services provided by Libaty GmbH ("Company," "we," "us," or "our") at socalizer.me, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not create an account or use our services.

YOU MUST BE AT LEAST 18 YEARS OLD

to use our service. By creating an account, you confirm that you are at least 18 years old or have parental/guardian consent.

BY CREATING AN ACCOUNT, YOU PERMANENTLY ACCEPT FULL LEGAL RESPONSIBILITY

FOR ALL RECORDINGS YOU MAKE USING OUR SERVICE. This is a binding legal agreement that applies to every recording you make.

2. SERVICE DESCRIPTION

Libaty GmbH provides a conversation analysis platform that enables users to:

  • Record conversations with proper consent
  • Transcribe recorded conversations
  • Analyze conversations using AI technology to improve social interaction
  • Access both free basic features and premium advanced features

3. USER OBLIGATIONS AND CONSENT REQUIREMENTS

3.1 PERMANENT ACCEPTANCE OF RECORDING RESPONSIBILITY

CRITICAL NOTICE:

By creating an account on socalizer.me, you permanently and irrevocably accept that YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE for:

  • Obtaining explicit, informed, written consent from ALL conversation participants BEFORE EVERY recording
  • Verifying the identity of all participants providing consent
  • Storing and maintaining all consent documentation
  • Ensuring consent meets all legal requirements in ALL relevant jurisdictions
  • Determining what type of consent is required in your jurisdiction and that of all participants
  • NEVER recording any minors (persons under 18) under any circumstances - no exceptions

This responsibility applies to EVERY recording you make, now and in the future, without exception.

WE DO NOT:

  • Obtain consent on your behalf
  • Verify that consent has been obtained
  • Store consent documentation (this is your responsibility)
  • Provide legal advice on consent requirements
  • Monitor or verify compliance with recording laws
  • Make exceptions to the prohibition on recording minors

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation and Recording Responsibility Acceptance

  • You must provide accurate, current, and complete information
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain multiple accounts
  • By creating an account, you permanently accept full legal responsibility for ALL recordings made with your account
  • You agree that you will obtain consent before every recording and will never record minors
  • You acknowledge that unauthorized recording may be a criminal offense
  • You agree to indemnify Libaty GmbH for any breach of these obligations
  • You cannot use our service without accepting this permanent responsibility

5. SERVICE TIERS AND PAYMENT

5.1 Free Tier

Basic features are available at no cost, subject to usage limitations.

5.2 Premium Features

  • Advanced features require a paid subscription
  • Pricing is displayed on our website and may change with notice
  • Payments are processed securely through Pebble, our merchant of record
  • Pebble handles all payment processing, billing, and related customer service
  • Subscriptions auto-renew unless cancelled

6. DATA PROCESSING AND STORAGE

6.1 Data Storage

  • Your data is stored on Supabase cloud servers
  • We implement industry-standard security measures
  • Data retention periods are outlined in our Privacy Policy

6.2 Third-Party Services

We use the following third-party providers:

  • Vercel: Hosting and deployment
  • Google Analytics: Usage analytics and service improvement
  • OpenAI: AI language processing
  • AssemblyAI: Transcription services
  • Meeting BaaS: Meeting infrastructure
  • Supabase: Database and storage
  • Pebble: Payment processing and merchant services

Each provider processes data according to their respective terms and privacy policies. We have Data Processing Agreements (DPAs) in place with Supabase, Vercel, and Meeting BaaS.

7. RECORDING RESPONSIBILITY AND LIABILITY SHIELD

7.1 One-Time Permanent Acceptance

BY CREATING YOUR ACCOUNT, YOU HAVE PERMANENTLY ACCEPTED

that for every recording made using our service:

  • YOU are the sole party responsible for legal compliance
  • YOU must obtain all necessary consents before each recording
  • This acceptance cannot be withdrawn while maintaining your account
  • This responsibility applies to all future recordings without further notice

7.2 Platform vs. User Responsibility

WE ARE A TECHNOLOGY PLATFORM

that provides tools for recording and analyzing conversations. We are NOT:

  • A party to your recordings
  • A legal advisor on recording laws
  • Responsible for obtaining consents
  • A monitor of recording legality
  • A storage provider for consent forms

8. INTELLECTUAL PROPERTY

8.1 Your Content

  • You retain ownership of your recorded conversations and content
  • You grant us a license to process your content for service provision
  • This license is limited to providing and improving our services

8.2 Our Property

All platform features, designs, and technology remain our intellectual property.

9. PRIVACY AND DATA PROTECTION

Your use of our service is subject to our Privacy Policy, which details how we collect, use, and protect your information in compliance with GDPR and other regulations.

10. LIABILITY LIMITATIONS

10.1 NO LIABILITY FOR USER RECORDINGS

IMPORTANT DISCLAIMER:

  • We are a technology platform provider ONLY
  • We DO NOT participate in, monitor, or verify the legality of your recordings
  • We are NOT responsible for your failure to obtain proper consent
  • We are NOT liable for any consequences of unauthorized recordings
  • We DO NOT provide legal advice regarding recording laws
  • You acknowledge that we have NO CONTROL over how you use the recording features

10.2 Indemnification

YOU AGREE TO FULLY INDEMNIFY, DEFEND, AND HOLD HARMLESS

Libaty GmbH, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the recording features
  • Your failure to obtain proper consent from any person before any recording
  • Any claim by a recorded party
  • Your violation of any recording or privacy laws
  • Your violation of these Terms
  • Any content you record, store, or process through our service
  • Any dispute between you and any person you record
  • Any legal action related to your recordings

This indemnification was accepted when you created your account and applies to ALL recordings made with our service.

11. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time through your account settings.

12.2 Termination by Us

We may suspend or terminate your account immediately and without notice for:

  • Violation of these Terms
  • Illegal activities or unauthorized recordings
  • Non-payment of fees
  • Excessive use that impacts service performance or availability for other users
  • Abuse of service resources or API limits
  • Using the service in a manner that creates liability risk for us
  • Extended inactivity (12+ months)
  • Any use that we determine, in our sole discretion, poses legal or operational risks

13. GOVERNING LAW AND DISPUTES

13.1 Governing Law

These Terms are governed by the laws of Germany.

13.2 Dispute Resolution

  • We encourage resolution through direct communication
  • Disputes shall be resolved in the courts of Offenbach am Main, Germany
  • EU residents may use the EU Online Dispute Resolution platform

14. CHANGES TO TERMS

We may modify these Terms at any time. We will notify you of material changes via email or platform notification. Continued use after changes constitutes acceptance.
